Capital Commodities of Florida Inc is a Florida corporation providing intermediary and agency services in trade and sales, including:

• Trade Intermediation & Distribution — We source and match reliable suppliers or buyers for your product, structure the transaction and coordinate every step between the parties until the deal is closed.
• Sales Agency Services — We represent manufacturers and suppliers on the U.S. market, promote their products and sell them on their behalf — or in our own name — under a written agency agreement.
• Consignment Trade — We sell your goods in our own name but for your account, handle buyer search, negotiations and settlements, and earn a commission only on completed sales.
• Import & Export Deal Support — We find foreign partners, help conclude international contracts and support the deal through documentation, Incoterms, logistics and customs coordination.
• Dealer & Distributor Services — We represent manufacturers within a defined territory, promote the brand and build a sustainable dealer and sales network that keeps your product moving.
• Counterparty Search & Brokerage Consulting — Market analysis, search and due diligence of potential partners, buyers or suppliers, plus professional negotiation support to secure the best possible terms.

We act as an intermediary, agent or commission agent between our clients and third-party suppliers, buyers and other business partners (“Counterparties”). Unless expressly agreed otherwise in writing, we are not a party to the supply or sale contract concluded between you and a Counterparty.

3. Eligibility

The Website and Services are intended for businesses and individuals who are at least 18 years old and have the legal capacity to enter into binding contracts. The Services are provided for business purposes only.

4. Website information and pricing

Information on the Website is provided for general informational purposes. Prices shown on the Website are indicative starting rates (“from”) based on average market rates in the United States; they do not constitute a public offer. The final price depends on the product category, deal volume, complexity and scope of work and is set out in a written agreement or quote. Statistics and figures on the Website reflect our internal data and are provided for general reference.

5. Service agreements and fees

Submitting a request through the Website does not create a contract. Services are provided only on the basis of a separate written agreement (for example, an agency, commission or service agreement) that sets out the scope, fees, payment terms and other conditions. If there is a conflict between these Terms and a signed agreement, the signed agreement prevails.

• Depending on the service, fees may be fixed, monthly (retainer) or success-based (a commission calculated as a percentage of the deal value).
• All fees are agreed in advance; we do not charge hidden fees.
• Unless otherwise stated, prices are in U.S. dollars and exclude applicable taxes, bank charges, logistics, customs duties and third-party costs.

6. Client responsibilities

When using the Website or our Services, you agree to:

• provide accurate, complete and up-to-date information;
• deal only in goods that are legal to manufacture, sell, import and export in the relevant jurisdictions;
• comply with applicable laws, including export control, customs, sanctions (including OFAC), anti-corruption and anti-money-laundering laws;
• obtain any licenses, permits or certifications required for your goods;
• not use our Services for any fraudulent, deceptive or unlawful purpose.

We may refuse or terminate cooperation if we reasonably believe that a request or deal violates the law or these Terms.

7. Counterparties and due diligence

We carry out reasonable checks of potential Counterparties based on available information (such as company registration, licenses, reputation and track record). However, we do not guarantee the solvency, performance, product quality or conduct of any Counterparty, and we do not guarantee that a deal will be concluded or that it will achieve any particular commercial result. You remain responsible for your own business decisions and for the terms of any contract you conclude with a Counterparty.

8. Acceptable use of the Website

You agree not to:

• use the Website in any way that violates applicable laws or the rights of others;
• submit false, misleading or third-party information without authorization;
• send spam, malware or automated requests, or attempt to gain unauthorized access to the Website or its systems;
• copy, scrape or reproduce content from the Website for commercial purposes without our written permission;
• interfere with the security or proper functioning of the Website.

9. Intellectual property
